สาระสำคัญของแนวทางใหม่ในธุรกิจแฟรนไชส์
การประกาศแนวทางใหม่มีสาระสำคัญหลายประการ อาทิเช่น การห้ามแฟรนไชส์ซอร์บังคับให้แฟรนไชส์ซีซื้อสินค้าหรือวัตถุดิบที่ไม่เกี่ยวข้องกับประเภทของสินค้าหรือบริการที่ขาย และการห้ามการกำหนดเงื่อนไขที่ไม่เป็นธรรมหลังจากการลงนามในสัญญา รวมถึงการห้ามการบังคับให้แฟรนไชส์ซีไม่สามารถซื้อสินค้าหรือบริการจากผู้จัดจำหน่ายอื่นที่มีคุณภาพเท่ากันและราคาถูกกว่า นอกจากนี้ แนวทางใหม่ยังห้ามการตั้งเงื่อนไขที่ไม่เป็นธรรมและการเอารัดเอาเปรียบแฟรนไชส์ซีโดยการกำหนดเงื่อนไขที่ไม่มีความชัดเจนหรือมีความยากลำบากในการปฏิบัติตาม
นอกจากนี้ยังมีข้อกำหนดที่สำคัญที่ระบุไว้ในแนวทางใหม่ว่าแฟรนไชส์ซอร์จะต้องเปิดเผยข้อมูลสำคัญที่เกี่ยวข้องกับการดำเนินธุรกิจ เช่น ค่าธรรมเนียมต่างๆ ที่แฟรนไชส์ซีต้องจ่าย ภาคการค้าของธุรกิจ สิทธิในทรัพย์สินทางปัญญาหากมี รวมถึงระยะเวลา การยกเลิก และการต่ออายุสัญญา ก่อนที่แฟรนไชส์ซอร์จะลงนามในสัญญากับแฟรนไชส์ซี นอกจากนี้ ยังระบุด้วยว่าแฟรนไชส์ซอร์ต้องแจ้งให้ทราบถึงการเปิดสาขาในพื้นที่ที่มีแฟรนไชส์ซีรายเดิมอยู่อย่างชัดเจน และต้องให้สิทธิในการเปิดสาขาให้แฟรนไชส์ซีรายเดิมในพื้นที่ดังกล่าวก่อน
